SECTION 10. Committees The Board of Directors may appoint such committees as they deem appropriate, designating their duties and powers in the resolution creating such committees. Such resolution shall designate the chairperson and members.

SECTION 11. Amendments Except as otherwise provided by law, these by-laws may be altered or amended by the affirmative vote of a majority of a quorum of the members, or of the board of directors.

The above constitutes the By-laws adopted by the board of directors by their action by unanimous consent in lieu of a meeting effective as of the 4th day of January, 1991.
