By Using A Dezign Studio's services, you agree to the following Terms of Service

By using services provided by A Dezign Studio (defined below), you agree to these terms and conditions ("Terms of Service"). Each time you use A Dezign Studio services, you reaffirm your acceptance of the then-current Terms of Service. If you do not wish to be bound by these Terms of Service, you may discontinue using these services; however, A Dezign Studio reserves the right to use all designs - creative and otherwise - for promotional purposes. You cannot use services performed by A Dezign Studio until you have accepted these Terms of Service.

A Dezign Studio

For purposes of these Terms of Service, the term "A Dezign Studio" or "ADS" shall mean web sites, services (graphic or otherwise) and all desktop publishing provided by or through ADS and its business affiliates.

Additional Terms and Conditions for other Services or Products

You agree and understand that certain services offered by or through A Dezign Studio may be subject to additional terms and conditions. You agree to abide by these additional terms and you further agree that a violation of those terms while you are using ADS services shall constitute a breach of these Terms of Service.

Modifications to the Terms of Service

ADS may change the Terms of Service at any time at its sole discretion. The modified Terms of Service will be effective immediately upon posting and you agree to the new posted Terms of Service by continuing your use of services from A Dezign Studio. If you wish to be up-to-date with the current terms of Service, you should monitor this page for any updates. If you do not agree with the modified Terms of Service, your only remedy is to discontinue services provided by ADS.

User Information and Security

From time-to-time and only at your discretion, A Dezign Studio may receive pertinent and secure information from same (e.g. credit card information, private email accounts, physical addresses, etc) in order to act on their behalf for purchases directly related on your behalf.

It shall be assumed that submission of such delicate information to A Dezign Studio shall be held in the strictest confidence and secured as same towards your confidentiality. A Dezign Studio shall not be held responsible whatsoever now or in the future for any liability or loss resulting from said submission.

You are responsible for any materials you post or make available on or through the A Dezign Studio, including message board posts, chat participation and homepages.

Spam Generated From ADS Email Addresses

Should services from A Dezign Studio be discontinued, at any request (via email, postal mail or phone) from ADS, you must notify your hosted web server and formally request that all email forwarding to any or all email addresses belonging to or affiliated with ADS employees and owners be severed.

A Design Studio Site Design Credit

At the bottom of each home page for which A Dezign Studio has created as part of their services-for-hire, their exists a single branding giving credit to ADS for said original site design. In accepting services for web site design, you agree to maintain this credit and link to ADS for the duration of their use of said design, for however long it exists. It may not be removed for any reason and you agree to this.

Copyright Infringement

No portion of services and creative elements by A Deizgn Studio other than those created expressly for you may be used without the express written consent of ADS.

No Endorsement

A Dezign Studio may contain links to other web sites, resources, etc. ADS is not responsible for the availability of these external sites nor does it endorse or is it responsible for the aesthetics, appeal, suitability to taste or subjective quality of informational content, advertising, products or other materials made available on or through such external sites. Under no circumstances shall ADS or any of the affiliated providers be held responsible or liable, directly or indirectly, for any loss or damage caused or alleged to have been caused to you in connection with the use of or reliance on any content, goods or services available on such external sites. You should direct any concerns to such external sites' administrator or Webmaster.

Limitation of Liability

ADS DOES NOT ENDORSE, WARRANT OR GUARANTEE ANY SOFTWARE, PRODUCT OR THIRD-PARTY WEB PRODUCTS USED BY A Dezign Studio FOR THE PURPOSES OF PRODUCING IT'S SERVICES TO YOU AND WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

Indemnification

You agree to defend, indemnify and hold harmless ADS, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of your use of A Dezign Studio services or third-party products and services. ADS reserves the right, at its own expense and in its sole discretion, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In that event and only in such event, shall you have no further obligation to provide indemnification for ADS in that matter.

Termination

ADS has the right to terminate services for any reason, including, without limitation, if it, in its sole discretion, considers your behavior or actions to be unacceptable or in the event of any breach by you of the Terms of Service (either directly or through breach of any other terms and conditions or operating rules applicable to you). ADS may, but shall be under no obligation to, provide you a warning prior to termination of said services.

Trademarks

All trademarks appearing on A Dezign Studio are the property of their respective owners.

Your Payment Responsibilities

A Dezign Studio shall submit through electronic email an official invoice for services rendered. You agree to pay ADS for all charges incurred under your account and noted therein. If ADS does not receive payment from you within a reasonable amount of time after submission of your invoice (not to exceed 30 days), you agree to pay all amounts due upon demand by ADS.

You are responsible for all charges incurred under your account.

You must notify ADS about any billing problems or discrepancies within 7 days after electronic notification has been submitted by ADS. If you do not bring them to ADS's attention within 7 days, you agree that you waive your right to dispute such problems or discrepancies.
