CONSTITUTION AND BYLAWS

FEDERAL MANAGERS' ASSOCIATION

CHAPTER 121

ROBINS AFB, GA 31098

ARTICLE I

NAME

The Organization shall be known as the Federal Managers' Association, Chapter 121, Robins AFB, Georgia.

ARTICLE II

PURPOSE AND OBJECTIVES

SECTION 1. The purpose of this Association shall be to bring into one organization all qualified and eligible managers employed at Robins Air Force Base and other Federal agencies.

SECTION 2. The objectives of the Association shall be to increase the efficiency of the managerial force; promote the social, intellectual and material welfare of the membership; establish mutual understanding, respect, and working relationships with responsible representatives of community, city, county, state and federal government; promote, support and defend legislation clearly beneficial to the membership and to the nation; oppose vigorously legislation clearly detrimental to the welfare of the of the membership and the nation's security; and in every endeavor promote justice, maintain integrity, and assure equality for all.

ARTICLE III

MEMBERSHIP

SECTION 1. The membership shall consist of managerial employees in various activities of the federal government including those employees responsible for implementing decisions and are not encompassed by the negotiated labor agreement.

SECTION 2. Definition of a Manager: One who organizes and directs the work of others or who has managerial responsibility over major functions and/or projects, i.e., professional people.

SECTION 3. The Association shall be free of restrictions or practices denying membership because of race, sex, color, religion, age, or national origin.

SECTION 4. A member shall stand suspended when payment of dues becomes six months or more in arrears. Dues are due and payable on the 1st day of each quarter. Such suspended members may be reinstated upon application for reinstatement and the payment of one quarter's dues in advance. Such applicant shall be balloted on in the same manner as a new member. If applicant is voted down, quarterly dues shall be returned to the applicant.

SECTION 5. A member may be suspended for misconduct by a majority ballot at a regularly scheduled or special meeting. The member being considered for suspension may appear before the meeting and plead his/her case before voters take on the case. Any member being notified of this action and who does not appear will not have further appeal on their suspension.

SECTION 6. Any member may submit the application of a potential member to the secretary together with one quarter's dues of thirteen dollars ($13.00) in advance or an AF Form 1189 authorizing payroll deduction of $3.00 per pay period.

SECTION 7. This chapter shall pay to the National Treasurer at the beginning of each quarter - January 1, April 1, July 1, and October 1 - per capita tax of $7.50 per member for which the National Treasurer will give a receipt to each chapter.

ARTICLE IV

OFFICERS

The officers of this Association shall consist of the following:

President
Treasurer
President Elect
Sergeant-at-Arms
Vice President
Trustees - Three
Recording Secretary

Candidates for these officers must be members in good standing. Upon election, officers of this Association will serve from 1 January through 31 December.

ARTICLE V

DUTIES OF OFFICERS

SECTION 1. PRESIDENT

a. It shall be the duties of the President to preside over all meetings of the Chapter; to call meetings when lawfully requested and to sign all official documents, including warrants drawn on the Treasury. The President shall appoint all standing committees as may prove necessary, reflecting always the wishes of the body at large, and to act as ex officio member of all committees. The President shall also carry out and enforce all the provisions of this Constitution and Bylaws.

b. In case of vacancy in the Office of the President, the President Elect shall fill the vacancy and be entitled to all provisions of that office. The Vice President moves up to fill the Office of President Elect. Filling the Vice President's now vacant position shall be at the discretion of the presiding president.

SECTION 2. PRESIDENT ELECT

a. It shall be the duties of the President Elect to act as presiding officer in the absence of the President and to assist the President in such duties as are required of time. The President Elect shall assume the office of President in such duties as are required of time. The President Elect shall assume the office of President in case of vacancy in the chair according to ARTICLE V, Section 1b above.

b. In case of vacancy in the Office of President Elect, an election shall be held at the next regular meeting or as soon thereafter as possible to fill the vacancy for the unexpired term.

SECTION 3. VICE PRESIDENT

The office of the Vice President is the entry level for progression to the Office of the President. The Automatic progression is one year as Vice President, one year as President Elect and one year as President. The Vice President serves as Executive Assistant to the President and shall act as presiding officer in absence of both the President and President Elect.

SECTION 4. RECORDING SECRETARY

The Recording Secretary shall read and record the minutes of all meetings keep all records of correspondence for the Association and handle communications as directed by the President and the Association and take care of incoming and outgoing correspondence, including notice of meetings to the membership.

SECTION 5. TREASURER

It shall be the duty of the Treasurer to receive and take charge of all moneys by cash and check, giving receipt for the same. The Treasurer shall disburse moneys only upon checks signed by the President; and shall submit all bank statements, cancelled checks, etc., to the Auditing Committee at the time of the closing accounts or period of auditing. The Treasurer shall be bonded if and as determined by the Executive Board.

SECTION 6. SERGEANT-AT-ARMS

a. The Sergeant-at-Arms shall execute orders of the President in preserving order and shall guard the door, admitting only those entitled to be present at the meeting assembled. The Sergeant-at-Arms shall see that all property of the Association is properly cared for and shall see that each member conducts themselves in accordance with the Association Bylaws; and shall escort all guests to their chairs.

b. In case of vacancy in the Office of Sergeant-at-Arms, the President shall appoint a member to fill the vacancy for the unexpired term.

SECTION 7. TRUSTEES

a. The Board of Trustees shall consist of three elected Trustees and it shall be the duties of the Board to meet and audit the books at the times specified in ARTICLE V, SECTION 4, and at such other times as directed by the President and to serve as custodians of all Association property unless otherwise provided for in the Bylaws.

b. In case of vacancy in the Office of Recording Secretary or Treasurer, the Board of Trustees shall appoint a member of the Association to fill the unexpired term.

c. In case of vacancy in the Office of Trustee, the President shall appoint a member to fill the vacancy for unexpired term.

SECTION 7. EXECUTIVE BOARD

The elected officers shall constitute the Executive Board. It shall meet as provided for in ARTICLE IX, SECTION 3.

ARTICLE VI

ELECTION OF OFFICERS

SECTION 1 a. The Officers of this Association shall be elected by a majority vote of the members casting ballots. In the event a candidate does not receive a majority (>50%) of the votes cast, the two candidates receiving the largest number of votes shall compete in a run-off election. All officers, elective or appointed, with the exception of the Trustees shall serve a one year term.

SECTION 1 b. Each trustee shall be elected to a three year term in such a manner to have one term expire each year. Trustee's shall hold no other office in the Chapter. The senior member shall be the Chair of the Board of Trustees.

SECTION 1 c. The offices of President, President elect and Vice President are "succession" offices. When a Vice President is elected they will serve as Vice President for one year, then as President Elect for one year and as President for one year.

SECTION 2. Election of officers shall be held no later than the first regular meeting in November of each year and the officers so elected shall be installed no later than the first regular meeting in December. Only members in good standing may vote, run for office, and/or be elected.

SECTION 3. The nominating committee shall be appointed no later than the regular October meeting. Committee recommendations shall be made no later than the November meeting; floor nominations will be accepted at this election meeting. The slate of nominees to be presented shall be included in the regular notice letter at least one week prior to the election meeting.

SECTION 4. If for any reason an officer fails to qualify for membership under ARTICLE III, SECTION 1, such office shall be declared vacant and the vacancy filled as provided for in these Bylaws.

ARTICLE VII

COMMITTEES

The President shall appoint all standing and special committees and the terms of these committees will be of one year duration unless sooner discharged by the President. Announcement of appointment of these committees shall be made during regular meetings. Committee duties will be outlined by the appointing Officer.

ARTICLE VIII

DUES AND LOCAL ASSESSMENTS

SECTION 1. The initial membership fee will be te equivalent of one quarter's dues. Dues will be fifty-two dollars ($52.00) per year, due and payable at the rate of $13.00 per quarter on the 1st day of each quarter or $3.00 per pay period if voluntary payroll deduction has been authorized. Quarters will be based on calendar year and will commence 1 January, 1 April, 1 Jul, and 1 October.

SECTION 2. Assessments as declared by the Association shall be in preference to dues.

SECTION 3. Before assessments can be made, all members must be notified ten (10) days prior to the next regular meeting, at which meeting a two-thirds majority vote of those present will be required before the passing of any assessments.

SECTION 4. When authorized by regulations, members may elect voluntarily on an individual basis to have their dues collected by payroll deductions. Chapter 121 will pay the administrative cost of such payroll collections as required by regulations.

ARTICLE IX

MEETINGS

SECTION 1. A quorum for transaction of business shall consist of no less than one (1) elected officer and ten (10) other members before the meeting can be called to order.

SECTION 2. Special meetings may be called at written request signed by any ten (10) members in good standing. Notices for such meetings will be sent by the Recording Secretary prior to meeting date. The reason for the special-called meeting will be the only order of business.

SECTION 3. Meetings of the Executive Board may be called by the President, or when acting for the President, the President Elect or Vice President may call meetings. Emergency actions may be taken by majority vote of the Executive board. Any action taken by the Executive Board shall be in the best interest of the organization, and shall be reported to the membership either in a special meeting or next regular meeting. A quorum for Executive Board meetings shall be four (4) of these elected officers.

SECTION 4. Regular meeting time and place may be set or determined by the Association at any regular meeting. In case of conflict, the meeting time and place may be designated by the President.

ARTICLE X

AMENDMENTS

These Bylaws may be amended by a two-thirds majority vote of those present at a regular meeting, provided the entire membership has been notified by mail 10 days prior to meeting date.

ARTICLE XII

DISSOLUTION

If the club fails to discharge its obligation, the individual club members may be ultimately held personally responsible for any liability even though the club meanwhile may have been redesignated or dissolved. Dissolution of the club will be by majority vote.

ARTICLE XIII

DELEGATES

The Delegates to the National Convention shall be elected two (2) months before the Convention meeting date. Any member in good standing may be elected as a Delegate and as National Committeeman. Any member in good standing may attend the National Convention at member's own expense but will not be vested with the authority to commit the Chapter in any way or to voice any vote (unless specifically directed by the Chapter at the time Delegates are elected to the Convention).

ARTICLE XIV

OBLIGATIONS

SECTION 1. Officers: I _________, do solemnly and sincerely promise on my sacred honor as a member of the Association, that I will faithfully discharge the duties of my office as _____________, of Chapter 121 of the Federal Managers' Association, and I will to the extent of my ability enforce the laws of the Association.

SECTION 2. Members: I _________, do voluntarily become a member of this Association, and pledge myself, before the members here present to abide by the Constitution, Bylaws, Rules and Regulations of this Association. I further pledge myself that I will do all in my power to advance the interest of Chapter 121 of the Federal Managers' Association.
