Constitution Oklahoma Council for History Education, Inc.
Article I. Name · This association shall be known as the Oklahoma Council for History Education, Inc..
Article II. Statement of Purposes The Oklahoma Council for History Education is organized and maintained to: · Advocate and advance the study and teaching of history in schools throughout the state; · Encourage and support the development and implementation of meaningful and effective history curriculum and instruction; · Provide a program of professional activities for history educators and students; · Provide for educational and professional interaction among those with an interest in history.
Article III. Membership Section I. Active Members · Active membership in the OKCHE is offered to all those who are committed to the stated purposes of the organization. · Active members are required to pay their regular membership dues, and are eligible for all privileges of such membership, including the right to vote and hold office. Section II. Dues · The annual membership dues will be determined by the Board of Directors. Dues are for the academic year effective September 1st through August 31st annually.
Article IV. Administration Section I. The Board of Directors A. The administration of the OKCHE shall rest with the officers and the Board of Directors. B. The Board of Directors shall consist of: 1. Twenty-one members (three each representing the Northeast, Northwest, Southeast, Southwest, Oklahoma City metro area, Tulsa metro area, and the Panhandle) elected by the active membership in accordance with the provisions of this constitution. 2. The twenty-one shall include four elected officers of the Council (President, President-Elect, Secretary, and Treasurer) and the immediate Past-President of the Council C. Active members shall vote for 3 Directors from their area of the state (Northeast, Northwest, Southeast, Southwest, Oklahoma City metro area, Tulsa metro area, and the Panhandle). D. Each Director, excluding officers, shall be elected to a three-year term. E. The Board of Directors shall be responsible for establishing all OKCHE policies, and shall delegate to the Executive Committee responsibility for implementing all delineated policies, directives, and/or programs. Section II. The Executive Committee A. The Executive Committee shall consist of the five officers of the OKCHE—President, President-Elect, Secretary and Treasurer, elected by the active membership in accordance with the procedures defined in the Constitution, and the immediate Past-President of the Council; 1. Each year, the OKCHE membership shall elect a President-Elect. The OKCHE shall elect a Secretary and Treasurer every two years. 2. Upon completion of a one-year term in that office as President-Elect, the individual shall become President of the Council for one year. 3. After a one-year term as president, the individual shall assume the role of Immediate Past-President for one year. B. Officers on the Executive Committee shall sit as voting members of the Board of Directors. C. The officers of the OKCHE shall be responsible for carrying out the following duties: 1. The president shall: a. call all scheduled meetings of the Executive Committee, the Board of Directors, and the general membership of the OKCHE; b. chair all Executive Committee, Board of Directors, and General Membership meetings of the Council; c. establish and recommend to the Board of Directors by September 30th of each year, a yearly calendar of the Executive Committee, Board of Directors, and general membership meetings of the OKCHE; d. submit periodic reports on the status and activities of the organization to the general membership and NCHE 2. The President-Elect shall: a. chair all Executive Committee, Board of Directors, and general membership meetings in the absence of the President; b. coordinate Oklahoma regional colloquia; c. assume additional specific duties and/or responsibilities duly designated and assigned by the President, Executive Committee, or the Board of Directors; d. become the “Acting President” in the event the President resigns or is unable to complete the term of office. 3. The Secretary shall: a. record and appropriately distribute minutes of all Executive Committee, Board of Directors and general membership meetings of the OKCHE; b. handle all correspondence necessary to the purpose and functions of the OKCHE, including notification of all meetings. 4. The Treasurer shall: a. develop the annual OKCHE budget; b. collect and bank all OKCHE money, including dues payments; c. disburse, with the approval of the Board of Directors, all money necessary to the efficient and effective functioning of the OKCHE; d. maintain all financial records of the OKCHE; e. file all tax forms with the appropriate State and/or Federal agencies; f. file periodic Treasurer’s reports with the Executive Committee, the Board of Directors, and the general membership of the OKCHE. 5. The Immediate Past President Shall: a. Chair the Nominating Committee of the OKCHE. Section 3: Elections A. The OKCHE president shall appoint a Nominating Committee from among the Board of Directors on or before March 31st of each year; B. The Nominating Committee shall file its report, offer its recommendations for officers and Directors to the Board by April 30th; C. Only active members shall vote and/or hold office in the OKCHE; each member casting his/her vote by mail; 1. Ballots must be mailed to be in the hands of active members before May 31st of each election year; 2. Ballots must be returned for tally to the designated member of the Board of Directors by June 15th; D. All Officers and Directors shall assume office on July 1st
Article V. Dissolution If the Oklahoma Council for History Education shall be dissolved as an organization at any time in the future, all money left in the Treasury will be donated to the Oklahoma Historical Society, 2100 N. Lincoln, OKC 73105.
Article VI. Amendments Section 1. Proposal Any Member of the OKCHE may submit a proposed amendment to the Constitution. The proposal must be endorsed by the signatures of twenty active members of the OKCHE, and shall be submitted to the Board of Directors in writing. Section 2. Submission to Membership The Board of Directors shall discuss all proposed amendments to the Constitution, and then present its recommendations, and a copy of the proposed amendment, to the active members Section 3. Vote The constitution shall be amended by a two-thirds majority vote of the active members by mail within the timeframe designated on the ballot.
Article VII: Ratification The constitution shall be ratified by a two-thirds majority of the active members.
